By purchasing, downloading, installing, accessing or using any Audiotent product, you ("User", "you" or "your") agree to be bound by the terms of this Agreement.
If you do not agree with these terms, you must not download, install or use the relevant product.
1. Scope of this Agreement
This Agreement applies to all digital products made available by Audiotent, whether purchased individually, as part of a bundle, provided as a free download or accessed through a subscription or other service.
This includes, but is not limited to:

- Any accompanying documentation, artwork, graphics, files and supporting materials.
Different products may have additional product-specific licensing conditions. Where additional conditions are supplied, they should be read alongside this Agreement. In the event of a conflict, the product-specific conditions will take precedence only in relation to the relevant product.
2. Licence Grant
Subject to your compliance with this Agreement and payment of any applicable purchase price, Audiotent grants you a limited, non-exclusive, worldwide, perpetual and non-transferable licence to download, install, access and use the purchased products for personal and commercial music production purposes.
This licence allows you to incorporate Audiotent products into your own original musical compositions, recordings, productions and other creative works.
Unless otherwise stated on the relevant product page, the licence permits you to:
- Use Audiotent audio samples and loops in personal and commercial music productions.
- Release music containing Audiotent sounds through streaming platforms, record labels, digital distributors and other commercial channels.
- Use samples in music commissioned for clients, films, television, games, advertisements and other commercial projects.

- Use Ableton Live project files, templates and racks as creative starting points for your own productions.

3. Royalty-Free Usage
Unless expressly stated otherwise, Audiotent audio samples, loops, MIDI files and presets may be used in commercial musical productions on a royalty-free basis.
This means you do not need to pay Audiotent additional royalties, publishing fees or usage fees when releasing music that incorporates our products.
You may distribute, monetise and commercially exploit your finished musical works without further permission from Audiotent.
However, royalty-free usage does not mean that the original Audiotent products become your property or that you are permitted to redistribute them independently.
You remain responsible for ensuring that your finished productions comply with the licensing terms of any other third-party materials used in your work.
4. Restrictions on Use and Redistribution
Audiotent products are licensed for use in creative productions and are not licensed for resale, redistribution or commercial exploitation as standalone assets.
You must not, directly or indirectly:
- Resell, redistribute, share, upload, publish or otherwise make Audiotent products available to third parties in their original or substantially unchanged form.
- Distribute Audiotent samples, loops, presets, MIDI files or other materials as part of another sample library, preset collection, sound bank or competing digital product.
- Repackage, rebrand, sublicense or commercially distribute Audiotent products as your own.
- Make Audiotent products available through file-sharing platforms, torrent networks, public download links or other distribution services.
- Share purchased download links, account credentials, activation codes or software licence keys with other individuals.
- Include original Audiotent materials in a product or service that allows other users to extract, download or reuse those materials independently.
- Claim ownership of Audiotent's original recordings, samples, presets, sound design or other intellectual property.
- Use Audiotent products to create or distribute competing sample libraries, preset collections or other substantially similar products that reproduce or redistribute our original materials.
You may collaborate with other musicians and producers using Audiotent products within your own musical productions, provided that the original source materials are not independently distributed or made available to others.
4.1 Artificial Intelligence and Machine Learning
Audiotent products are protected intellectual property and are licensed for use in music production and other creative activities expressly permitted under this Agreement. They are not licensed for use as training materials or datasets for artificial intelligence or machine learning systems.
You must not, directly or indirectly:
- Use Audiotent samples, loops, recordings, presets, MIDI files, software or other proprietary materials to train, fine-tune, develop, test or improve artificial intelligence or machine learning models or systems.
- Upload, submit or otherwise provide original Audiotent materials to AI platforms, generative AI services or machine learning tools where those materials may be retained, used for model training or incorporated into datasets.
- Create, compile or distribute datasets containing Audiotent materials for artificial intelligence, machine learning or other automated training purposes.
- Use Audiotent products as source material to generate competing AI-generated sample libraries, preset collections, sound banks or other commercial digital products that reproduce or substantially imitate our original materials.
- Use automated extraction, scraping or processing methods to reproduce, catalogue or redistribute Audiotent's proprietary content.
This restriction applies whether the AI or machine learning system is operated commercially, privately, locally or through a third-party service.
For clarity, this section does not prevent you from using Audiotent products in your own finished musical compositions or recordings, including music that you subsequently choose to process or enhance using AI-assisted creative tools, provided that the original Audiotent materials are not supplied for model training, independently reproduced or redistributed.
Nothing in this section prohibits activities that cannot lawfully be restricted under applicable mandatory law.
4.2 Competing Products and Sound Libraries
You must not use Audiotent products, whether individually or in combination, as source material for creating, developing or distributing products that directly compete with Audiotent's sample libraries, preset collections, sound banks or other digital products.
This includes extracting, repackaging, recreating or substantially reproducing original Audiotent content for commercial redistribution, whether the resulting product is distributed manually or generated using automated tools or AI systems.
5. Software Applications and Audio Plugins
Where Audiotent supplies software applications, audio plugins, virtual instruments or other executable software, this Agreement also governs their installation, activation, access and use.
Subject to the applicable product licence, you are permitted to:
- Download and install the software on compatible devices that you own or control.
- Use the software for personal and commercial music production.
- Use the software within supported digital audio workstations (DAWs) and other compatible environments.
- Create, save, export and commercially distribute music and other creative works produced using the software.
- Copy, modify, adapt, translate or create derivative versions of the software itself.
- Reverse engineer, decompile or disassemble the software, except where such activities are expressly permitted by applicable law.
- Circumvent software protection, activation systems, authentication mechanisms or other technical restrictions.
- Remove or alter copyright notices, trademarks or other proprietary notices.
- Distribute, rent, lease, sublicense or otherwise make the software available to third parties.
- Use the software to develop, train or create a competing product that substantially replicates its proprietary functionality, code or design.
Software activation requirements, supported operating systems, installation limits and device allowances may vary between products and will be specified in the relevant product documentation or product page.
You are responsible for ensuring that your computer, operating system and other equipment meet the minimum requirements for the software.
6. Ownership and Intellectual Property
All Audiotent products remain the intellectual property of Audiotent and/or its respective licensors.
This includes, without limitation:
- Audio recordings and sound samples.
- Musical loops, MIDI files and arrangements.
- Synthesiser presets, patches and sound banks.
- Software source code, executable code and user interfaces.
- Graphics, artwork, branding and product documentation.
- Educational materials, videos and associated content.
Purchasing a product does not transfer ownership or copyright to you. It grants you only the usage rights expressly described in this Agreement.
You retain ownership of your own original musical compositions, recordings and creative works, subject to the intellectual property rights of any third-party materials incorporated into them.
Audiotent does not claim ownership of your finished musical productions merely because you have used our products to create them.
7. Free Products, Bundles and Promotional Offers
The terms of this Agreement also apply to products obtained through free downloads, promotional offers, giveaways, bundles, discount campaigns or other complimentary distributions.
Receiving a product free of charge does not grant additional redistribution, resale or ownership rights.
Where a product is provided as part of a bundle or promotional offer, its use remains subject to this Agreement unless otherwise specified.
8. Account Security and Product Access
Where access to Audiotent products requires an account, you are responsible for maintaining the confidentiality of your login credentials and protecting access to your account.
You must not share your account with others or permit unauthorised individuals to access products licensed to you.
Audiotent reserves the right to suspend or restrict access where we reasonably suspect account sharing, unauthorised distribution, fraudulent activity or a breach of this Agreement.
You are responsible for retaining appropriate backups of your purchased downloads, installation files, licence information and other product materials.
We do not guarantee that download links, hosting services or online access to products will remain available indefinitely.
9. Updates and Product Support
Audiotent may, at its discretion, provide updates, improvements, bug fixes, additional content or new versions of its products.
Unless otherwise stated, there is no guarantee that a product will receive future updates, upgrades or ongoing technical support.
Software updates may introduce changes to functionality, compatibility, system requirements or installation procedures.
Audiotent reserves the right to discontinue, modify or replace products where reasonably necessary.
Nothing in this section limits any mandatory consumer rights you may have under applicable law.
10. Third-Party Software and Compatibility
Some Audiotent products may require third-party software, plugins, synthesiser instruments, digital audio workstations or other applications to function.
Examples include Ableton Live, VST, VST3, Audio Units and other supported plugin formats.
Such third-party software is subject to its own licensing agreements and terms of use.
Audiotent is not responsible for the availability, operation, compatibility or continued support of third-party products or services.
Unless expressly stated, Audiotent does not guarantee compatibility with every operating system, DAW, hardware configuration or third-party application.
11. Refunds and Digital Content
Due to the nature of digital products, all purchases are subject to the applicable consumer protection and digital content laws in the jurisdiction where you purchase them.
Where permitted by law, once digital content has been supplied and you have expressly consented to immediate access or download, you may lose your statutory right to cancel the purchase within the applicable cooling-off period.
This does not affect your statutory rights where digital content is faulty, defective, misdescribed or does not conform to the applicable legal requirements.
Nothing in this Agreement excludes or limits any consumer rights that cannot legally be excluded or limited.
Please refer to our Terms of Service and applicable purchase conditions for further information about orders, cancellations and refunds.
12. Disclaimer and Limitation of Liability
Audiotent products are provided for creative and production purposes.
To the extent permitted by applicable law, Audiotent makes no guarantee that its products will meet every individual requirement, work with every hardware or software configuration, or produce any particular creative or commercial result.
Nothing in this Agreement excludes or limits liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Any liability that cannot legally be excluded or limited.
- Mandatory consumer rights relating to digital content and services.
Subject to the above, and to the maximum extent permitted by applicable law, Audiotent shall not be liable for indirect, incidental or consequential losses, including loss of profits, business opportunities, data or anticipated savings arising from the use of its products.
Where liability cannot be excluded, it will be limited to the extent permitted by applicable law.
13. Termination of Licence
This licence remains in effect for as long as you comply with its terms.
Audiotent may terminate or suspend your licence where you materially breach this Agreement, including through unauthorised redistribution, resale, sharing or commercial exploitation of our products.
Where appropriate, Audiotent may provide notice and a reasonable opportunity to remedy the breach.
Upon termination, you must stop using the affected product and delete any unauthorised copies or redistributed versions under your control.
Termination does not affect any rights or remedies that have already accrued.
Any provisions which by their nature should continue after termination, including intellectual property rights, restrictions on redistribution and liability provisions, shall remain in effect.
Nothing in this section removes any rights you may have under applicable consumer protection laws.
14. Changes to this Agreement
Audiotent reserves the right to update or amend this Agreement from time to time.
The latest version will be published on the Audiotent website, together with the date of the most recent update.
Changes will not retrospectively remove rights already granted to customers in respect of completed purchases, unless required by law or agreed with the relevant customer.
Your continued use of Audiotent products following any applicable changes constitutes acceptance of the revised Agreement to the extent permitted by law.

The collection, processing and use of personal information in connection with Audiotent products and services is governed by our Privacy Policy.

This Agreement does not replace or override our Privacy Policy.

This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising from this Agreement shall be subject to the jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws provide otherwise.
If you are a consumer residing outside England and Wales, nothing in this Agreement deprives you of any mandatory rights or protections available under the laws of your country of residence.
